To protect its reputation, ensure the continued viability and success of its brands, and to continue to provide an outstanding customer experience and service, as well as to ensure that its network of authorized dealers, retail partners and distributors continues to thrive in the marketplace, Red Wing Shoe Company unilaterally developed and implemented this non-negotiable Minimum Advertised Price Policy (“MAP policy” or “policy”). In accordance with this policy, Red Wing Shoe Company reserves the right to discontinue doing business with any authorized dealer, retail partner or distributor that advertises any brand or product covered by this MAP policy at a price lower than MAP (as established in our most • Red Wing Shoe Company may, at its sole discretion and from time to time, with or without prior notice, modify the price lists referred to above. • Red Wing recognizes that its authorized dealers, retail partners and distributors are free to make their own decisions when it comes to marketing, advertising or selling Red Wing products without consulting Red Wing Shoe Company. Nothing in this policy is intended to suggest or affect the actual resale price of any product or require any dealer or distributor to sell Red Wing products at the listed minimum advertised price (MAP). • This MAP policy, by itself, is not to be construed as Red Wing’s authorization to sell its products online. ADVERTISING GUIDELINES • This MAP policy applies to any and all marketing, advertising and promotional updated price lists). GENERAL GUIDELINES activities of Red Wing Shoe Company brands and products that in any way implies a price lower than the minimum advertised price made in any and all media accessible to a consumer, including but not limited to print, television, radio, direct mail (including e-mail), as well as any Internet site, social media platform, digital and mobile application or any other media now known or later developed. • This MAP policy will also apply to any rebates or instant rewards, buy one get one free or at some reduced amount below MAP, gift with purchase offers (when the gift exceeds 25% of the selling product’s retail value) and online sales, showing a price above MAP prior to the final check-out stage. Pricing in the final check-out stage must be obscured technically so that is not retrievable by shopping or pricing engines and not displayed on search page results within the retailer’s own website, even if logged in. • Free shipping in combination with an advertised product in accord with Red Wing’s MAP Policy is not a violation of this policy. • Red Wing may exempt certain designated designs, models and items from this policy for purposes of inventory reduction and model closeouts. In such cases, the authorized dealer, retail partner or distributor must advertise in a manner indicating the differentiation, e.g. closeout, discontinued color or style. • From time to time, Red Wing Shoe Company, in its sole discretion, may provide “break periods”
No adjustment will be given without the original receipt of purchase from an authorized seller. You must return your footwear to the Red Wing Shoe seller from which the footwear was purchased. DISCLAIMER: The limited warranty relating to Red Wing branded footwear is in lieu of any other express warranty. No agent, employee or representative of Red Wing has any authority to bind Red Wing to any affirmation, representation or warranty concerning Red Wing branded footwear products, except as stated herein. Red Wing shall not be liable for any consequential, incidental or punitive damages. This limited product warranty gives you specific legal rights, and you may also have other rights that vary from state to state. Any implied warranties shall be effective for a period not exceeding 12 months from the date of purchase from an authorized seller. Some states do not allow manufacturers to impose time limitations on certain implied warranties, so the above limitation may not apply to you. DISTRIBUTION POLICY It is the policy of Red Wing Brands of America, Inc. to sell its Red Wing Heritage products directly to selected retailers for resale only at or from the retailer’s retail and/or online outlets approved in writing by Red Wing, and only to the retailer’s end user customers. Red Wing Heritage retailers are not authorized to sell to or ship to any end users outside of the United States or Canada. This policy further prohibits resale or shipment of Red Wing Heritage products by a retailer to any other business location inside or outside of the United States. Violation of this distribution policy may result in the immediate termination of a retailer’s right to sell Red Wing branded products. CHANGE NOTICE We have made every effort to make this catalog accurate. Due to improvement of product performance and availability of materials, there may be specification changes made during the year. Red Wing Brands of America, Inc. reserves the right to discontinue or drop products, sizes, widths or styles without prior notice. MINIMUM ADVERTISED PRICE POLICY For over 110 years, Red Wing Shoe Company (“Red Wing”) has manufactured, distributed and sold premium footwear, footwear care, apparel and accessories through its portfolio of world class brands (Red Wing Shoes, Irish Setter, Worx, and Vasque). To this day, Red Wing’s purpose- built product lines have been at the spearhead of innovation and setting the standard of excellence in the marketplaces in which we compete and provide consumer value. Through a significant investment in product design, development, technology and people, Red Wing Shoe Company has established a strong reputation in the footwear industry. As a critical component of our value proposition, Red Wing also recognizes that its historical and continued success is highly dependent on its vast distribution network which provides consumer choice and convenience in the purchasing process. As a result, Red Wing Shoe Company is committed to ensuring that all consumers continue to receive the best possible experience and customer service
to allow promotion of certain Red Wing product lines (such as Red Wing Work, Irish Setter, Vasque, Worx or Heritage). Break periods for applicable product lines will be communicated directly to authorized dealers, retail partners or distributors as applicable and discounts may not exceed 25% of product’s MSRP. • This MAP policy will also apply to any activity which Red Wing Shoe Company determines, in its sole discretion, to be designed or intended to circumvent the intent of this policy. POLICY ENFORCEMENT • Any Red Wing Heritage dealer or retailer that advertises Red Wing Shoe Company products at a price lower than the minimum advertised price, as outlined within the current MAP price list, may be immediately terminated from further sales to that authorized dealer, retail partner or distributor. • If an authorized Red Wing Heritage dealer, retail partner or distributor with multiple store or physical brick and mortar locations violates this MAP policy at any one store location, or through any digital marketplace or associated website, Red Wing Shoe Company will consider this to be a violation by that Red Wing Heritage dealer, retail partner or distributor. • Red Wing Shoe Company reserves the right to cancel any pending orders, restrict future orders, or suspend the Red Wing Heritage dealer, retail partner or distributor’s account if Red Wing Shoe Company detects any violation to this MAP policy. • Red Wing Shoe Company is solely responsible for determining whether a violation to this MAP policy has occurred. • Red Wing Shoe Company reviews the advertised prices of all dealers, retail partners and distributors directly, through third party agencies, or tools intended to monitor promotional pricing. Red Wing Heritage dealers, retail partners and distributors are expected to provide reasonable cooperation to any Red Wing investigation regarding possible violations to this MAP policy. Hindering, obstructing, delaying or otherwise failing to cooperate with a Red Wing MAP policy investigation will also be considered a violation of this MAP policy. • The MAP policy will be enforced by Red Wing Shoe Company in its sole discretion and without notice. Red Wing Heritage dealers, retailer partners and distributors have no right to enforce the company’s MAP policy. Violations to this policy may result in any of the sanctions mentioned above up to including termination of the business relationship with Red Wing Shoe Company, as well as any remedies available by law. • All questions or conerns regarding this MAP policy or suspected MAP policy violations should be directly sent by email to brandprotection@redwingshoes.com
New Product – Red Wing Brands of America, Inc. (“Red Wing”) accepts returns of defective new merchandise. No prior authorization is required. A Return Merchandise Memo must accompany defective merchandise returns. The returned merchandise must be shipped prepaid via the most economical means. Both credit and transportation credit will be issued on returned merchandise deemed defective after inspection from Red Wing. Worn Product - Red Wing accepts returns of defective worn merchandise. Red Wing Shoe Stores must complete the Return Merchandise Memo, and receive prior authorization from an ARM, ROM, or TSM. The approver will electronically send the Return Merchandise Memo to: customer.relations@redwingshoes.com. No prior authorization is required for Branded Accounts. A completed Return Merchandise Memo, original sales receipt, return receipt and freight receipt must accompany the defective merchandise returns. The returned merchandise must be shipped prepaid via the most economical means. Both credit and transportation credit will be issued on returned merchandise deemed defective after inspection from Red Wing. SHIPPING ERRORS: Red Wing accepts returns on merchandise that is sent in error. The returned merchandise must be returned to Red Wing within 30 days of delivery. A return merchandise memo must accompany the returned merchandise along with a copy of the invoice or packing slip indicating the returned merchandise. Merchandise returned without a copy of the invoice or packing slip will be assessed a $10 per pair restocking fee. Merchandise not returned in the same condition as originally received will be assessed a $10 per pair reconditioning fee. The returned merchandise must be shipped prepaid and via the most economical means. Transportation credit will be issued on returned shipping errors and prompt credit will be issued. SPECIAL ORDERS: Special order merchandise may be returned within 45 days of delivery. A return merchandise memo must accompany the returned merchandise along with a copy of the invoice or packing slip indicating the returned special order merchandise. Merchandise returned without a copy of the invoice or packing slip will be assessed a $10 per pair restocking fee. Merchandise not returned in the same condition as originally received will be assessed a $10 per pair reconditioning fee. A $10 per pair re-stocking fee will be charged on all special orders returned after 45 days. ALL OTHER RETURNS: No other merchandise returns will be accepted without prior authorization from your Red Wing brand sales representative. ALL DEFECTIVE AND NEW MERCHANDISE MUST BE RETURNED TO: Red Wing Brands of America, Inc. Attn: Returns 135 Cannon River Avenue Red Wing, MN 55066 LIMITED WARRANTY RELATING TO RED WING BRANDED FOOTWEAR Footwear products bearing the “Red Wing” or “Red Wing Shoes” label are warranted against defects in workmanship and materials. If within 12 months of purchase from an authorized seller, a defect occurs in a Red Wing branded footwear product as the result of normal use, Red Wing will repair the defect or exchange the product. Product failures caused by excessive or abusive wear conditions do not qualify for exchange or purchase credit. This warranty is available only to the original purchaser and is not transferable.
